General terms

Your wish to appoint "Jirafix" to provide creative marketing services for your company involves an agreement to certain terms. On the commencement of the project, below mentioned terms will be considered as a binding contract for all the involved parties.

You acknowledge that you have read the Terms, and you agree to be bound by them.
Definition
“The Company” shall mean Jirafix and the Customer shall mean the Party with whom the Company enters into a Contract.


Fees and cost:

  1. Estimated prices quoted for the service, will be in written format for the listed services. Any additional services required related to the project will be considered as a new job and it will be quoted and charged accordingly.
  2. A signed purchase order(PO) with an order number and project value will need to be raised with the full quoted and agreed amount before work can commence on any job.





Payments:

  1. Payment for services must be paid in 25%(non-refundable) of the full amount before the commencement of the project.
  2. Our services will only commence after payment is received.
  3. The customer has to complete the remaining 75% payment of the full amount within 15 working days after the final invoice is raised.
  4. Failure by the Customer to pay any invoice by its due date shall entitle the Company to charge interest at the rate of ten percent(10%) per month on the full amount agreed until payment in full is made.
  5. All work is billed either monthly or on completion of the project stage, or the relevant hourly charge as previously agreed.





Confidential Information and Intellectual Property Rights:

  1. The Customer and the Company may need to disclose to each other certain Confidential Information in the course of the project but neither party can use any Confidential Information for any purpose other than mentioned in the Contract.
  2. All created designs, artworks will remain property of the company till the time the final payment is not done.
  3. Upon full payment of our fees, we will assign to you all deliverables and Intellectual Property Rights of the completed project.
  4. We may buy stock images for your project from third parties, in no condition these images are licensed to you. If you want to buy these images for other purposes than you can buy licenses from those other parties, assistance will be provided for the action.
  5. We reserve the right to display all designs that we create for you on the Jirafix website and its marketing material.





Warranty:

  1. The Company gives a warranty that all services will be performed with reasonable skill and care.
  2. Any deficiency in the performance of the Services shall be notified to the Company within 5 days of completion of the job.
  3. We do not guarantee that our services will provide any specific results like increased sales, increased profits or increased customers as a result of our services.
  4. Once final proofs/materials have been signed off, the Company cannot be held responsible financially or otherwise for any errors relating to print, programming or any end product.





Termination
We reserve the right to suspend services immediately at any time and without liability if you fail to perform your obligations, including failing to make payments to us by the due date.
